Terms of Service
The Platforms are operated by MyoMed Prep LLC, a Montana limited liability company (“MyoMed Prep,” “Company,” “we,” “us,” “our”), whose mailing address is 1827 11th Ave, Unit #2170, Helena, Montana 59601, United States. Full company details are at the foot of this page.
By creating an account or using the Platforms, you agree to these Terms of Service, the Privacy Policy, the Synapsis AI Privacy Policy (if you use the tutor or coach on any Platform), the Educational and Medical Disclaimer, and the Academic Integrity Policy (collectively, the “Platform Agreements”). If you do not agree, do not use the Platforms.
Cancellation and auto-renewal summary. Paid subscriptions renew automatically. You may cancel anytime from your Account page. Cancellation takes effect at the end of the current billing period. Full details are in Section 5.
1. Who May Use the Platforms
1.1 Age. You must be at least sixteen (16) years old, or the age of digital consent in your jurisdiction if higher, to create an account. If you are between sixteen and eighteen years old, you represent that your parent or legal guardian has reviewed these Terms and consents to your use of the Platforms.
1.2 Intended Users. The Platforms are intended for nursing students, allied-health students, licensed professionals, and educators. You must provide accurate, current, and complete registration information and keep it updated.
1.3 Eligibility. We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our discretion if we reasonably believe you do not meet the eligibility requirements in this Section 1 or have violated any Platform Agreement.
2. Your Account
2.1 Security. You are responsible for safeguarding your password and for all activity that occurs under your account, whether or not authorized by you. You agree to use a strong, unique password and to notify us promptly at contact.admin@myomedprep.org of any unauthorized use of your account or any other security breach.
2.2 One Account Per Person. Accounts are personal. You may not share, sell, lend, transfer, or sublicense your account or login credentials to another person. Each individual must maintain their own account.
2.3 Account Sharing Consequences. If we detect that an account is being shared or accessed by multiple individuals, we may suspend or terminate the account without refund and without prior notice.
2.4 Institutional Accounts. If you are accessing the Platforms through an institutional subscription (school, employer, or training program), your institution’s agreement with us may contain additional terms that supplement these Terms. In the event of conflict between an institutional agreement and these Terms, the institutional agreement controls for users covered by it.
3. License, Intellectual Property, and Content
3.1 License to You. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platforms for your own education during your active subscription or free-tier access. This license does not include any right to: (i) resell, sublicense, or commercially exploit the Platforms or their content; (ii) copy, reproduce, scrape, download (except as expressly permitted by Platform features), redistribute, republish, or create derivative works from Platform content; (iii) modify, reverse engineer, decompile, or disassemble any software or technology underlying the Platforms; or (iv) remove, alter, or obscure any copyright, trademark, or other proprietary notice.
3.2 Ownership. All content on the Platforms, including lessons, practice items, case studies, rationales, unfolding cases, readiness exams, flashcards, images, illustrations, cheat sheets, simulations, software, design, trademarks, and the compilation and arrangement of all of the foregoing, is the property of MyoMed Prep LLC or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws. “MyoMed Prep,” “NexGen Mastery,” “RadMatrix,” “Rescue,” “Foundations,” and “Synapsis AI” are trademarks of MyoMed Prep LLC.
3.3 Limited Personal Use. You may make brief quotations or personal study notes from Platform content for your own educational use. You may not distribute such notes to others, post them online, or use them for any commercial purpose.
3.4 Feedback. If you submit ideas, suggestions, feedback, or feature requests to us (“Feedback”), you grant us an irrevocable, perpetual, worldwide, royalty-free, sublicensable license to use, modify, and incorporate that Feedback into the Platforms or any other product or service without compensation or attribution to you. Do not submit Feedback if you do not agree to this.
3.5 No Circumvention. You may not bypass, disable, or circumvent any access control, authentication mechanism, digital rights management, or other security feature of the Platforms.
3.6 Anti-Scraping. Automated access to the Platforms (bots, scrapers, crawlers, spiders, or similar tools) is prohibited without our prior written consent. You may not use any automated means to copy, download, index, or mass-collect Platform content. A violation of this Section 3.6 causes quantifiable harm to our business, and you agree that we may seek injunctive relief and damages, including the reasonable cost of identifying and responding to the violation.
3.7 DMCA. If you believe material on the Platforms infringes your copyright, see our Copyright Policy and DMCA Notice and Takedown Procedure. Our designated agent is registered with the U.S. Copyright Office (DMCA-1079859).
4. Acceptable Use
4.1 You agree not to: (i) enter real patient information or any protected health information (PHI) as defined by HIPAA anywhere on the Platforms, including in practice notes, SOAP-note tools, discussion fields, the AI Tutor, or account details; (ii) use the Platforms to provide, or as a substitute for, medical care, diagnosis, or treatment; (iii) attempt to breach, probe, scan, or overload our systems, or access another user’s data or account; (iv) use automated tools to scrape or mass-download content, in violation of Section 3.6; (v) upload, transmit, or distribute unlawful, infringing, defamatory, threatening, harassing, or malicious material; (vi) violate the Academic Integrity Policy, including sharing live examination content from any testing body; (vii) impersonate any person or entity, or misrepresent your affiliation with any person or entity; (viii) use the Platforms for any illegal purpose or in violation of any applicable law or regulation; or (ix) assist, encourage, or enable any other person to do any of the foregoing.
5. Subscriptions, Free Trial, and Billing
5.1 Plans. MyoMed Prep operates four platform portals on the same domain:
- NexGen Mastery (nursing examination preparation) offers a Free level and a paid Premium subscription.
- RadMatrix (radiology technology and imaging interpretation) is a separate paid subscription.
- Rescue (emergency medical services, NREMT-B through Paramedic) is free while in preview and is planned to become a separate paid subscription; we will give at least thirty (30) days’ notice before charging for it.
- Foundations (prerequisite sciences and mathematics) is included at no additional charge with any active paid subscription to NexGen Mastery or RadMatrix (and, once Rescue leaves preview, with any paid subscription including Rescue). Foundations is not available as a standalone paid product.
Each paid subscription (NexGen Mastery Premium and RadMatrix) is checked out and billed independently. A subscription to one platform does not include access to another platform (except that every paid subscription includes Foundations). An All-Access subscription bundles NexGen Mastery Premium and RadMatrix at one price, and includes Rescue at no charge while it remains in preview. Synapsis AI is available across all Platforms as part of your active subscription.
5.2 Auto-Renewal Disclosure. Paid subscriptions renew automatically at the end of each billing period (monthly or annual, as selected at checkout) at the then-current price, and your payment method will be charged automatically, until you cancel. By subscribing, you authorize these recurring charges. You may cancel at any time as described in Section 5.5.
5.3 30-Day Free Trial. Every new NexGen Mastery account receives full Premium access for thirty (30) days at no charge, with no payment method required. When the trial ends, the account continues on the Free level unless you subscribe. We will not charge you without your affirmative consent to subscribe. Free trial availability on RadMatrix, Rescue, and Foundations may vary and will be stated at the time of registration.
5.4 Payment Processing. Payments are processed by Stripe, Inc. We do not store your payment card details on our systems. Your use of Stripe is subject to Stripe’s terms of service.
5.5 Cancellation. You may cancel any paid subscription at any time from your Account page (Manage Billing). Cancellation takes effect at the end of the current billing period, and you retain access to the cancelled platform until then. We do not provide prorated refunds for partial billing periods. After cancellation, your account reverts to the Free level (where available) or access to the cancelled platform ceases at the end of the billing period. Cancelling one subscription does not affect your other active subscriptions. See also the Subscriber Refund and Cancellation Policy for full details.
5.6 Billing Errors. If you believe you were charged in error, contact us at contact.admin@myomedprep.org within fourteen (14) days of the charge. We will review and correct genuine billing errors.
5.7 Price Changes. We may change subscription prices upon at least thirty (30) days’ notice before your next renewal date. The new price applies from your next renewal, and you may cancel before the change takes effect. Continued use after a price change constitutes acceptance.
5.8 Refunds. Except for billing errors corrected under Section 5.6, all payments are non-refundable. We may, at our sole discretion, offer credits or refunds on a case-by-case basis, but we are not obligated to do so.
6. The AI Tutor (Synapsis AI)
6.1 Nature. Synapsis AI is the AI-powered tutor and coach available across all MyoMed Prep Platforms. It is not a separate company. It is a study aid, not a reference, and not a clinical decision-support device. It can be confidently wrong.
6.2 Use at Your Own Risk. AI Tutor responses are generated by a language model. They may contain inaccuracies, cite sources that do not support the stated claim, or reflect outdated guidelines. Treat every clinical statement the AI Tutor makes as a prompt to verify against your primary sources, course materials, and institutional policies. Never rely on it as a settled answer and never use it as a basis for the care of a real patient. See the Educational and Medical Disclaimer for full details.
6.3 No PHI. Never type real patient information into the AI Tutor or anywhere else on the Platforms.
6.4 Availability. The AI Tutor is provided on an “as available” basis and may be unavailable at times. If the tutor is unavailable, practice items, unfolding cases, readiness exams, and flashcards continue to work.
6.5 Privacy. Use of the AI Tutor is subject to the Synapsis AI Privacy Policy, which describes how tutor conversations are processed and stored.
7. Disclaimers of Warranty
7.1 THE PLATFORMS AND ALL CONTENT, INCLUDING AI TUTOR RESPONSES, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AND NON-INFRINGEMENT. YOUR USE OF THE PLATFORMS IS AT YOUR OWN RISK.
7.2 WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (i) THE PLATFORMS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (ii) ANY CONTENT IS ACCURATE, CURRENT, OR COMPLETE; (iii) THE AI TUTOR WILL PROVIDE CORRECT OR SAFE INFORMATION; OR (iv) ANY DEFECT WILL BE CORRECTED.
7.3 SEE THE EDUCATIONAL AND MEDICAL DISCLAIMER, WHICH IS INCORPORATED INTO AND FORMS PART OF THESE TERMS.
8. Limitation of Liability
8.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYOMED PREP LLC AND ITS SOLE MEMBER, MANAGERS, EMPLOYEES, CONTRACTORS, CONTRIBUTORS, INSTRUCTORS, AND EDITORIAL BOARD MEMBERS (COLLECTIVELY, “MYOMED PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, OR FOR ANY CLINICAL, ACADEMIC, LICENSURE, CERTIFICATION, OR PROFESSIONAL OUTCOME, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORMS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE)
AND EVEN IF A MYOMED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2 THE TOTAL AGGREGATE LIABILITY OF ALL MYOMED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORMS SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU ACTUALLY PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) FIFTY UNITED STATES DOLLARS (US $50).
8.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS IN THIS SECTION 8 APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
9. Dispute Resolution
9.1 Informal Resolution First. Before filing any formal claim, you agree to contact us at contact.admin@myomedprep.org and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved this way.
9.2 Individual Claims Only. You and MyoMed Prep LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platforms shall be resolved on an individual basis only. Neither party may bring or participate in any class action, collective action, representative action, or private attorney general action, and neither party may join or consolidate claims with those of other persons. If this class-action waiver is found unenforceable as to a particular claim, then that claim (and only that claim) must be severed from any proceeding and may proceed in court, but the remainder of this Section 9 still applies to all other claims.
9.3 Governing Law and Venue. These Terms, and any dispute arising out of or relating to them or to the Platforms, are governed by the laws of the State of Montana and the applicable federal laws of the United States, without regard to conflict-of-law rules. You and MyoMed Prep LLC agree that the exclusive venue for any such dispute is the state courts sitting in Gallatin County, Montana, or the United States District Court for the District of Montana, and each party consents to the personal jurisdiction of those courts and waives any objection to venue on grounds of inconvenient forum.
9.4 Consumer Protections. Nothing in this Section 9 deprives a consumer of the protection of mandatory provisions of the law of the country or state in which the consumer resides. Either party may bring an individual claim within the jurisdiction of a small-claims court that has proper jurisdiction.
9.5 Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORMS.
10. Indemnification
10.1 You agree to indemnify, defend, and hold harmless the MyoMed Parties from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use or misuse of the Platforms; (ii) your violation of these Terms or any Platform Agreement; (iii) your violation of any applicable law, regulation, or third-party right; (iv) any content you submit, post, or transmit through the Platforms; or (v) your use of Platform content in connection with the care of a real patient.
11. Termination
11.1 By Us. We may suspend or terminate your account and access to the Platforms, immediately and without prior notice, if you violate these Terms, the Academic Integrity Policy, or any other Platform Agreement, or if we reasonably believe such action is necessary to protect the Platforms, our users, or our business. Termination for cause forfeits any remaining subscription period without refund.
11.2 By You. You may stop using the Platforms at any time. You may cancel your subscription per Section 5.5 and request account deletion per the Privacy Policy.
11.3 Effect of Termination. Upon termination: (i) your license to use the Platforms ends immediately; (ii) we may delete your account data in accordance with the Privacy Policy; and (iii) Sections 3 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Dispute Resolution), 10 (Indemnification), and this Section 11.3 survive termination.
12. Availability and Force Majeure
12.1 Availability. The Platforms are provided on an “as available” basis. We may modify, suspend, or discontinue any feature at any time, and we do not guarantee uninterrupted availability. We may perform maintenance that temporarily interrupts service.
12.2 Force Majeure. We are not liable for any delay or failure in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, government actions, internet or infrastructure failures, power outages, cyberattacks, or labor disputes.
13. Changes to These Terms
13.1 We may update these Terms from time to time. The “Last updated” date above reflects the current version. We will announce material changes on the Platforms at least fifteen (15) days before they take effect. Continued use of the Platforms after changes take effect constitutes acceptance. If you do not agree with the updated Terms, you must stop using the Platforms and cancel your subscription.
14. Electronic Communications
14.1 By creating an account, you consent to receive electronic communications from us regarding your account, billing, and material changes to the Platform Agreements. These electronic communications satisfy any legal requirement that such communications be in writing. You may withdraw this consent by deleting your account, but doing so may prevent you from using the Platforms.
15. Third-Party Links
15.1 The Platforms may contain links to third-party websites, tools, or resources. We do not control, endorse, or assume responsibility for any third-party content or services. Your use of third-party resources is at your own risk and subject to their terms and policies.
16. Severability
16.1 If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
17. Entire Agreement
17.1 These Terms, together with the other Platform Agreements, constitute the entire agreement between you and MyoMed Prep LLC regarding the Platforms and supersede all prior or contemporaneous agreements, understandings, and communications on that subject.
